1. About this website

This website is operated by Vinayak Garments, H-140, DLF Garden City, Phase 2A, Indore, Madhya Pradesh, India (GSTIN 23ALGPK9271JIZU, IEC ALGPK9271J), contact info@vinayakgarments.com. It is for business buyers aged 18 or over acting for a business. It is not a consumer shop.

2. Information, quotations and orders

Content on this website is general information and an invitation to enquire, not an offer to sell. Prices, minimum order quantities, lead times, specifications and payment terms apply only when we confirm them in a written quotation, proforma invoice or order confirmation. A contract is formed only when we accept your order in writing, and it is then governed by those documents and our terms of sale. Colours and images may differ slightly from the product.

3. Prices, currency and taxes

Prices are quoted on request, in the currency we agree. Domestic sales include GST as applicable. Export sales are invoiced under the Indian rules for exports. Unless the agreed Incoterms rule says otherwise, you are responsible for import duties, taxes, customs clearance and licences in the destination country.

4. Export and trade compliance

Shipping terms follow the Incoterms rules (2020 edition) we agree for each order. You must give accurate importer details. We comply with the Indian laws that govern exports, including the Foreign Trade (Development and Regulation) Act, 1992 and the Customs Act, 1962, and we do not supply goods or services where the sale would breach applicable sanctions or export controls (India, UN, EU, UK or US). We may refuse or suspend an order if we reasonably suspect a breach. We do not offer, give or accept bribes, and we expect the same of the people we deal with.

5. Market rules for garments

Labelling, fibre content, care instructions, country-of-origin marking, safety and restricted-substance rules differ by country (for example EU REACH and the EU Textile Regulation, UK textile labelling rules, and US fibre and care-labelling rules). Tell us your market's requirements before ordering. We will confirm in writing what we can meet, and any test reports or certificates are provided only when we expressly agree. Unless agreed otherwise, the importer is responsible for market-specific compliance.

6. Intellectual property

Zaylox, Linenee, the Vinayak Garments name and logo, and the text, designs and photographs on this website belong to Vinayak Garments or its licensors. You may view and print pages for your own business evaluation. You may not copy, reuse or use our marks without written permission. If you give us logos, artwork or designs (for example for uniforms), you confirm you have the right to use them and that they do not infringe anyone else's rights. If you believe content here infringes your rights, write to us and we will review it promptly.

7. Third-party names and logos

Other company names and logos on this website belong to their owners. They appear only to identify uniform programmes we manufactured as the manufacturing partner of S.Kumar's, which received those orders and outsourced the manufacturing to us. We did not hold a direct contract with those organisations. Their display does not imply endorsement, sponsorship or partnership. Owners may ask us to remove their logo at any time by writing to us.

8. Acceptable use

Do not misuse this website: do not send unlawful, false or abusive content, attempt to break its security, scrape it in bulk, overload it, or submit enquiries on behalf of others without their permission.

9. Personal data

How we use data you send us is explained in our privacy policy.

We are not responsible for websites or services run by others, such as WhatsApp. Our B2B store, when it opens, will have its own terms of sale and privacy notice.

11. Disclaimer

We work to keep this website accurate, but it is provided as is, without any promise that it is complete, current or error-free. Statements about our processes, capacity and sustainability describe our current practice and aims. They are not certifications, and we do not claim any certificate or audit unless we show you the document.

12. Limit of liability

To the extent the law allows, we are not liable for indirect or consequential loss, or loss of profit, arising from use of this website, and our total liability for it is limited to INR 10,000. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything the law does not allow to be limited. Liability under a sales contract is set out in that contract.

13. Governing law and disputes

These terms are governed by the laws of India. The courts at Indore, Madhya Pradesh have exclusive jurisdiction, without limiting any mandatory rights you have under your local law. A sales contract may provide for arbitration under the Arbitration and Conciliation Act, 1996.

14. General

We may update these terms and will change the date above. If part of these terms is unenforceable, the rest remains in force. These terms and the documents they refer to are the whole agreement about use of this website. The English version prevails over any translation.
